General terms and conditions of sale of printed circuit boards by PRO PCB Sp. J., hereinafter referred to as the Supplier.
Offer inquiries
- Requests for quotations should be sent in electronic form to the following e-mail address: info@propcb.pl.
- Quotations sent by the Supplier do not constitute a commitment to conclude a sales contract. Oral agreements and commitments without written confirmation are null and void.
- The Customer is obliged to check all information on the received quotation and report any possible concerns to the Supplier in writing before placing an order. Placing an order based on the quotation (in accordance with the quotation) is tantamount to accepting all proposed design changes, if any, in the quotation.
- The quotation will be valid if the Ordering Party refers to it in the order (by quotation number) and all elements of the executed circuit board are in accordance with the quotation (a change in technology, quantity or conditions of execution in relation to those specified in the quotation may result in a change in price and/or delivery date).
Orders
- Orders should be placed only by sending an order to the following e-mail address: info@propcb.pl.
- If the Ordering Party cancels the order, it shall be obliged to cover the costs incurred by the Supplier in connection with proceeding with the order.
- The Supplier may refuse to execute an order due to previous arrears of payments by the Ordering Party, inconsistency of the order with the Supplier’s technical specifications, lack of free production capacity or for any other justified reason presented to the Ordering Party.
- In the case of orders carried out within the standard execution time, the Ordering Party has the right to change the design or cancel the order within 1 hour of placing the order. After 1 hour, the order can no longer be modified, while the cancellation of the order will incur costs in accordance with point 2 above.
- In the case of express orders, making changes to the project is possible on condition that the Ordering Party covers the costs incurred by the Supplier in connection with the execution of the order.
- In case of any changes in the design, the Customer is obliged to change the name or revision of the circuit (e.g., by introducing a new version of the board). Failure to change the naming will not be the basis for a complaint when the Supplier makes an old version of the printed circuit board.
- The Ordering Party agrees to execute the order in accordance with the Supplier’s submitted terms and conditions. By placing an order, the Ordering Party confirms that it accepts these terms and conditions, including the stipulation that the Supplier’s liability is limited exclusively to the replacement of defective or incorrectly delivered printed circuits.
- Cooperation of the Parties undertaken on the basis of the accepted order shall be governed by the laws of the Republic of Poland, and any disputes shall be subject to the jurisdiction of the Polish courts.
Implementation
- Unless otherwise specified by the Ordering Party, the Supplier:
- realizes orders in accordance with IPC-A-600, IPC-A-610 standards,
- realizes orders with a quantity tolerance of -5%/+10%,
- admits the possibility of the occurrence of up to 10% defective and visibly marked by the Supplier circuits for the panel.
- Other arrangements can be made after individual consultation (quantity tolerance of ±0% is associated with individual pricing of the order).
- Order completion date given by the Supplier may be changed in case of objective reasons beyond the Supplier’s control (lack or delay in the delivery of components, etc.) – the change of the order completion date resulting from these reasons does not constitute a delay resulting in liability of the Supplier – subject to Item 4.
- In case of delayed realization of express orders, the price of printed circuit boards may be recalculated and, if necessary, reduced by an appropriate surcharge for express realization.
Price
- The supplier determines the price of the printed circuit on the basis of the submitted design (request for quotation sent by email). All prices given in offers, orders are net prices and do not include transportation and insurance costs (Ex Works according to Incoterms 2010). The price of printed circuits offered by the Supplier depends on the circuit technology selected by the Ordering Party and the amount of circuit board surface area ordered.
- The Supplier reserves the right to change the price in case the order sent by the Ordering Party specifies conditions different from the previously accepted offer (e.g., the circuit technology, number of pieces, requested order completion date are changed).
Delivery
- The transportation time is not included in the order completion date.The agreed completion date is the date of shipment from the supplier or making the goods available for collection at the Supplier’s premises (Ex Works according to Incoterms 2010).
- The Supplier carries out standard domestic and international shipments with the cooperation of the DHL delivery service. If the Ordering Party has a contract with another freight forwarder and the goods are to be shipped through it, the Ordering Party is obliged to provide their customer number, according to its contract with the freight forwarder.
- The Supplier is not responsible for the destruction and loss of the package by the delivery agent, or any delays in delivery due to the fault of the forwarder (in such cases, however, the Supplier may provide assistance to solve the problem or to file a claim with the carrier).
- In the event of delays in the delivery of printed circuit boards, the Supplier shall not bear the financial consequences of the delay.
Use of circuits / operation
- The Ordering Party shall, before proceeding to the assembly of circuits, perform test assembly on 1 circuit and proceed to the assembly on the remaining circuits after it has been ascertained that the test assembly was correct and that no defects were found in the supplied printed circuits during and after assembly.
- The Supplier shall not be liable for any damages incurred by the Ordering Party in the event that the Ordering Party refrains from carrying out the test assembly as in item 1.
Storage conditions for printed circuit boards
- The recommended storage conditions for printed circuit boards are the following:
- sealed packaging, humidity below 50% and room temperature.
- Storage time:
- 6 months for printed circuit boards made on laminates with a TG value of 135 (standard),
- 4 months for printed circuit boards made on laminates with a TG value higher than 135.
- For unsealed packaging or when the specified storage time has passed, it is recommended to anneal the boards:
- for printed circuit boards made on laminates with TG value of 135 – annealing should be carried out 24 hours before assembly;
- for printed circuit boards made on laminates with a higher TG value – annealing should be carried out 8 hours before assembly.
- Annealing conditions:
- for printed circuit boards with a TG value of 135 – 3 hours at 130 deg C,
- for printed circuit boards with a TG value higher than 135 – 3 hours at 140 deg C.
- In the case of vacuum drying with a vacuum of about 50 mbar, drying temperatures can be reduced by 20 deg.C.
- The quoted annealing time is the minimum time allowable. Depending on the structure of the circuit board, or the conditions of exposure of the circuit board to moisture, the annealing time can be extended.
- In accordance with IPC 4552A, the Supplier shall ensure the appropriate level of solderability of delivered PCBs for 12 months from the time of delivery of the PCBs to the Ordering Party (or from the time the PCBs are made available for acceptance in case of the Ordering Party’s own acceptance). After the expiration of this period, the Supplier’s liability for any problems arising during the process of assembling electronic components on supplied circuits is excluded.
Payment
- The Supplier shall commence the execution of orders from new Ordering Parties after they have paid the entire amount due based on the payment specification. The payment specification is valid for 7 business days, after which it is cancelled, and the price shown on it ceases to apply. In the event of failure to make payment within this period and failure to confirm familiarisation with these General terms and conditions of sale herein, the order will be cancelled.
- After the first three transactions settled based on the payment specification, the Supplier may consent to making payments with a deferred deadline.
- Consent to payment after the order has been executed may be expressed after the Ordering Party has provided the following documents (or their equivalents issued by authorised foreign bodies):
- a current extract from the National Court Register or a certificate of entry in the relevant register,
- a copy of the Tax Identification Number (NIP),
- a copy of the REGON identification number.
- In the event of failure to pay the amount due on time, the Ordering Party is obliged to make the payment together with interest at the statutory rate on all overdue amounts, counted from the due date until the date of actual payment.
- Until the Supplier’s bank account is credited, the ownership of the circuits shall be vested in the Supplier.
- Delays in payment will result in the suspension of the execution and shipment of orders until the overdue amounts are settled. Failure to make timely payments may also result in a change in the payment terms in relation to future orders to the obligation to pay 100% of the order value before production is commenced (prepayment).
Warranty
- The Supplier provides an indefinite warranty against electrical defects for tested circuits.
- The Supplier provides a 12-month warranty for material defects.
- The warranty period begins on the day the ordered printed circuits are delivered to the Ordering Party.
- The warranty does not cover circuits that have been fitted with electronic components without test assembly (see point 2 of the Use of Circuits / Operation section).
- The warranty does not cover circuits stored contrary to the Supplier’s recommendations (see the Storage conditions for printed circuit boards section).
- The Ordering Party is obliged to check whether all the production files sent (layout files, drilling files, milling files, etc.) are complete and correct. The Ordering Party is always responsible for the production of printed circuits. The Supplier is not responsible for defective circuits if they were manufactured in accordance with the production files provided by the Ordering Party.
- The warranty provided by the Supplier is governed by the provisions of the law of the Republic of Poland, and any disputes that may arise during the consideration of claims arising from the warranty provided are subject to the jurisdiction of Polish courts. This means that the provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 are excluded. The provisions on warranty are also excluded.
Complaints
- When submitting a complaint, the Ordering Party is obliged to describe the problem, attaching photos of the defective circuits to the complaint. If the Supplier considers that the photos provided are not sufficient to conduct the complaint consideration process (and in particular to confirm the occurrence of the defect or to diagnose the causes of the circuit defect), they may require the Ordering Party to immediately send samples of the defective circuits for additional testing, including destructive testing (grinding, i.e. microsectioning or cross-section analysis). Within 24 hours of receiving the complaint, the Supplier will contact the Ordering Party to determine the next steps in the procedure.
- The Supplier’s liability is excluded if the circuits that are the subject of the complaint have been modified in any way, including when electronic components have been installed on them, unless the Supplier’s written consent to such modification has been sent in advance.
- The circuits covered by the complaint should be sent to the Supplier’s address.
- Filing a complaint does not release the Ordering Party from making payment for the goods received.
Copyright
- The Ordering Party declares that it has all the necessary copyrights to the designs provided to the Supplier for production or quotation.
Confidentiality
- The Supplier ensures full confidentiality of the transmitted data, which is guaranteed by the possibility of signing an NDA agreement. The Ordering Party’s personal data may be entered into the Supplier’s database and processed in accordance with the Personal Data Protection Act of 10 May 2018 (Journal of Laws 2018, item 1000) and the general regulation of the European Parliament and of the Council (EU) 2016/679 of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and the repeal of Directive 95/46/EC. The data is protected against unauthorized access.
- The data is used to sell the Supplier’s products and services and to facilitate marketing activities, such as information about products and special offers.
